Your Responsibilities
SEO requires light involvement by your webmaster or IT professional. Ultimate success is highly dependent on their effort. To help achieve a smooth and successful implementation, it will be your responsibility to:
- Provide copy (text) in MS Word 2003 .doc format without formatting i.e. bullet points, colors, boxes, etc. or extension of files created in Dreamweaver that is not plagiarized.
- Provide FTP access (username and password) to actual company website or CMS login (Wordpress, Jooma, Drupal, etc.).
- Supply registrar username and password and hosting account username and password.
- Approve and/or modify suggested search terms for up to three (3) rounds.
- Reply to emails within 48 hours.
- Create a new Gmail email account and email us the username and password for use in building inbound links.
- Contact support@ 24/7 with any questions or concerns.
Timeline
The hours for SEO Optimization do not necessarily correspond with the amount of hours that it may take to complete your project; i.e., rank your website. A total of 700 hours may be completed within a month considering that the hours are divided between one or more teams of engineers. However, it takes time for Google and the other search engines to go through each page of your website and save those pages to their servers. (Search engines work by saving the web pages on their servers and when a searcher runs a query, it is run on the server; not on the actual sites on the web). This process can take as little as a week if your site doesn't have many pages, but up to 6 months if the site is extremely complex with thousands of pages. For the purposes of the guarantee, it cannot take longer than 12 months. This 12 month timeframe is intended to protect you, the consumer. It cannot take us longer than 12 months to rank your website or we must provide a full refund. A 12 month timeframe will usually correspond with a database-driven website with thousands of pages that is also brand new or a website that was previously blacklisted from Google for using “black-hat” unethical SEO tactics.
Agreement
(The "Agreement") is made the date your order is completed on our website by and between whoever has placed the order with the username and password used to login to the shopping cart (whether individual or company), ("Client") and Search Engine Partner, whose principal place of business is in South Florida, U.S.A. ("Firm"). This is agreement is entered into at the Firm's place of business. Client hereby employs Firm to optimize the Client's website as follows:
SEO Services: Firm shall only implement SEO practices that are within the Webmaster guidelines recommended by Google and W3C.
Payment: The Client shall pay ongoing maintenance fees once the client's website is ranked per the SEO Optimization service purchased. Payment shall be made at Firm's address or via website within 15 days of invoice. Payments made after the sixteenth (16th) day shall incur a fee of 1.8% per month. If any payment is not made as agreed, Firm has the right to cease further performance. Monthly maintenance fees are based on average left-hand side of the screen top ten results in the following search engines only: Google, Yahoo!, and Microsoft Bing. Average results refers to a combination of search results across the US or globally. Firm shall have final say over what the average results are and does not rely on any third party non-Google approved software. Non-payment may result in Firm placing a service lien on website and/or any work performed for Client. All payments are non-refundable unless stated otherwise in our Guarantee;
Money Back Guarantee: If Firm does not rank Client's website on the first page of Google/Yahoo/Microsoft Bing for at least ten (10) search terms/phrases/keywords within 12 months starting from the date of Client's new SEO code being approved, uploaded and live, Client's initial SEO Set Up fee shall be refunded. A rank is defined as an appearance of a search term within selected level that appears on a search engine results page. Any Website that is all Flash or contains frames/layers is not eligible for the guarantee. Guarantees may be voided for, among other reasons, websites that have been altered after they have been optimized by Firm, sabotaging Firms efforts (for instance, by contacting a competitor once the campaign has already begun), websites that are cloned or have been found to have duplicate copy, websites going down or being dehosted, not following Firms recommendations, or not providing enough copy/text if Firm is not to create copy. Client shall not delay this timeframe by not supplying information requested by Firm or approving edits within at least one week from when requested.
Cancellation: If no progress has been made (progress is defined as the increase of a search term associated with the campaign) the client may cancel this agreement and receive a refund of its deposit from Firm.
Requirements: FTP access (username and password) will be required. If website is database driven as in the case of an ecommerce shopping cart site or blog, Client will also be required to provide server access or MySQL (.sql) database file.
Search Terms: This agreement applies to targeted search terms/phrases/keywords that are relevant to Client's website, business, and or industry. Firm's objective is to develop a list of search terms/phrases/keywords that correspond to terms or phrases that people frequently use to conduct a search and can be expected to increase targeted search engine traffic and generate qualified leads. Firm researches search terms/phrases/keywords and sends the results to Client via e-mail. Client approves the list or suggests additional search term/phrase/keyword research. If Client suggests additional research, together Firm and Client will work through up to 3 rounds of revisions to be sure that Firm has identified the best Search terms/phrases/keywords for Client's business. Firm sends Client the final list for approval. A pre-optimization ranking report of the approved list of Search terms/phrases/keywords will be generated which can be used as a benchmark for measuring future success of the SEO campaign. Overly competitive Search terms/phrases/keywords (those outside of the selected search term/phrase/keyword level) may require additional fees.
Directory Submissions: Firm will submit website to free directories. Some directories may require a fee, which would be the responsibility of the Client. Some Companies may have already paid for directory listings prior to hiring Firm. Therefore, a list of recommended directories will be provided to Client for approval once Firm verifies which directories Client may need. To qualify for guarantee Client shall be required to pay these fees.
Copy: Client shall be responsible for inputting copy / text. Any text or copy supplied to Firm must be owned and in the possession of Client. Any copy/text copied and/or plagiarized shall void this contract in its entirety, shall be considered a material breach, and shall excuse Firm from further performance. Firm shall indemnify itself against Client in the case of litigation arising from Federal or State Copyright violation.
Copy Writing: Firm will be responsible for revising Client's copy and incorporating Search Terms, considering preexisting copy exists. If additional or new copy is required to be written Firm charges $100USD per page. Client has final approval on all copy edits. If Client chooses to write its own text /copy for Firm to incorporate into website, it must be formatted in Microsoft Word version 2003 (.doc) or any version of Dreamweaver (.html, .htm).
Length of Maintenance Agreement: The monthly maintenance fees will continue in force for at least 12 months starting from the date of Client's new SEO code being approved, uploaded and made live unless client indicates otherwise.
Warranties: Firm does not make any verbal warranties or guarantees outside of this agreement regarding search engine rankings or performance. There are no warranties which extend beyond the description on the face hereof.
Venue/Choice of Law: This agreement constitutes the entire agreement between the parties and supersedes any and all prior agreements and understandings. This agreement may not be altered or amended except in writing signed by a VP of Firm. This agreement shall be interpreted in accordance with the laws of the State of Florida, USA. Venue for all purposes shall lie solely in South Florida, USA. Client shall be responsible for all legal fees and costs incurred by Firm in any litigation, including appeals, arising under this agreement. The parties shall not be liable for indirect, incidental or consequential damages, including but not limited to loss of profits or other economic loss, by reason of the termination of this Agreement or any breach thereof.
Acceptance: Acceptance of these terms by Client shall be construed by Client either signing a custom proposal or invoice or by tendering payment. Acceptance of monthly maintenance fees shall be inherent under this agreement unless Client specifies otherwise in writing either via email or fax.
